ADDRESSSYNC INNOVATIONS INC.

TERMS OF SERVICE AND USE

Effective Date: 01 August 2026
Last Updated: 19 August 2026

These Terms of Service and Use (“Terms”) govern your access to and use of the AddressSync platform, website, applications, APIs, software, interfaces, and related services provided by AddressSync Innovations Inc. (“AddressSync,” “we,” “us,” or “our”). By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree with these Terms, you must not access or use the Services.

1. DEFINITIONS

For purposes of these Terms: "AddressSync" means AddressSync Innovations Inc. "AddressSync Platform" means the software, infrastructure, interfaces, applications, APIs, and related technology operated or made available by AddressSync. "Institution" means a third-party organization selected, linked, authorized, or otherwise designated by a user to receive an address-change transaction. "Personal Information" means information about an identifiable individual as defined by applicable privacy legislation. "Services" means AddressSync's address synchronization, transmission, validation, authentication, account, notification, and related services. "User," "you," or "your" means the individual or organization accessing or using the Services. "Address Change Request" means an instruction submitted through the Services requesting that AddressSync process and/or transmit an address change. "Buffer Loop" means AddressSync's controlled processing architecture used, where implemented, to temporarily process, validate, route, and transmit information without necessarily requiring persistent storage of all transaction information. "Vault" means any persistent AddressSync storage environment used to retain information for an authorized and identified purpose.

2. ACCEPTANCE OF THESE TERMS

By using the Services, you represent that you have read these Terms, you understand them, you agree to be legally bound by them, you have authority to enter into these Terms if acting on behalf of an organization, and the information you provide is accurate to the best of your knowledge. If you do not accept these Terms, you may not use the Services.

3. ELIGIBILITY

You must have the legal capacity required to enter into these Terms. If you use the Services on behalf of another person or organization, you represent that you are authorized to do so. AddressSync may restrict or refuse access where permitted by law if it reasonably believes that an individual is not authorized to use an account or submit a transaction.

4. DESCRIPTION OF THE SERVICES

AddressSync provides technology intended to facilitate the secure transmission and synchronization of address information between an authorized user and selected institutions. Depending on the Services available, AddressSync may collect address-change instructions, authenticate users, validate address information, process an effective date, route information, transmit information to selected institutions, provide transaction status information, maintain transaction records, provide notifications, and provide historical records where the applicable service includes such functionality. AddressSync is a technology and synchronization service and is not the owner of the databases operated by participating institutions and does not control their internal record-management systems.

5. NO GUARANTEE OF INSTITUTIONAL ACCEPTANCE

Submitting an address-change request through AddressSync does not guarantee that an Institution will accept the request, process it, process it immediately, update its records, update every account associated with the user, recognize the effective date requested by the user, send correspondence to the new address, or retain the address in the manner expected by the user. Institutions may impose their own authentication, documentation, eligibility, timing, security, or address-change requirements. The user remains responsible for complying with any direct notification obligations imposed by an Institution.

6. ADDRESSSYNC IS NOT THE INSTITUTION

AddressSync does not become the financial institution, utility, insurer, telecommunications provider, government organization, landlord, employer, educational institution, or other organization to which information is transmitted. The Institution remains responsible for its own products, services, accounts, records, policies, regulatory obligations, and internal processing. Any dispute concerning an account balance, utility service, insurance coverage, financial products, government records, benefits, billing, institutional correspondence, institutional eligibility, or institutional decisions must be addressed with the relevant Institution.

7. USER AUTHORIZATION

When you select an Institution and authorize a synchronization request, you authorize AddressSync to process and transmit the information reasonably necessary to carry out that request. You may be required to confirm your identity, the address being changed, the new address, the effective date, the receiving Institution, and the scope of the authorization. You must not authorize AddressSync to transmit information concerning another person unless you have lawful authority to do so.

8. USER RESPONSIBILITY FOR ACCURACY

You are responsible for ensuring that information submitted through the Services is accurate, complete, and current. You must not knowingly submit a false address, another person's information without authorization, fraudulent identity information, misleading information, forged documentation, or information intended to deceive an Institution. AddressSync may suspend, reject, or investigate transactions that reasonably appear fraudulent, unauthorized, or unlawful.

9. ADDRESS EFFECTIVE DATES

Where the Services permit you to specify an effective date, AddressSync will attempt to process the request according to the information submitted. However, an effective date submitted to AddressSync does not automatically become the effective date recognized by an Institution. The Institution's systems, policies, contractual terms, and legal requirements determine when its records are actually changed.

10. ADDRESS VALIDATION

AddressSync may use automated or third-party address-validation mechanisms to standardize, verify, or format address information. Validation does not constitute a legal guarantee that the individual resides at the address, the address is occupied by the individual, the Institution will accept the address, mail will be delivered successfully, or the address is the correct address for every purpose.

11. BUFFER LOOP

AddressSync may use a Buffer Loop architecture to facilitate controlled, temporary processing of transactions. The Buffer Loop is intended to provide a controlled pathway through which an address-change request may be received, authenticated, validated, processed, routed, transmitted, and acknowledged or recorded. The Buffer Loop is not a guarantee of permanent storage, delivery, acceptance, or institutional processing.

12. ADDRESSSYNC VAULT

Where the Services include a persistent Vault, information may be retained for purposes described in the Privacy Policy and applicable service documentation. The Vault may support authorized address history, transaction traceability, security, dispute resolution, compliance, and user-requested recordkeeping. Access to the Vault is subject to authentication and authorization controls.

13. ACCOUNT REGISTRATION

You may be required to create an account. You agree to provide accurate registration information and maintain it as necessary. You must not create an account using another person's identity, create accounts for fraudulent purposes, provide false information, circumvent account restrictions, or share authentication credentials improperly.

14. ACCOUNT SECURITY

You are responsible for protecting your authentication credentials. Where available, AddressSync may require or recommend multi-factor authentication. You must notify AddressSync promptly if you believe your credentials have been compromised, an unauthorized person has accessed your account, an unauthorized transaction has occurred, or your device has been compromised. AddressSync may temporarily suspend account access where reasonably necessary to protect the account, user, Institutions, or platform.

15. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receiving electronic communications necessary to administer the Services, including authentication messages, security alerts, transaction confirmations, service notices, account notifications, legal notices, and technical communications. Marketing communications, where applicable, will be subject to applicable consent requirements.

16. TRANSACTION RECORDS

AddressSync may maintain records necessary to establish when a request was submitted, what information was submitted, which Institution was selected, what authorization was provided, what processing occurred, whether transmission was attempted, whether a technical acknowledgement was received, and relevant security events. These records help protect users and AddressSync and support dispute resolution, security, auditing, and legal compliance.

17. THIRD-PARTY SERVICES

AddressSync may depend on third-party technology and infrastructure providers supporting cloud infrastructure, authentication, communications, address validation, cybersecurity, monitoring, data storage, backup, APIs, and institutional connectivity. AddressSync will select and manage service providers in accordance with applicable contractual, privacy, security, and legal requirements.

18. THIRD-PARTY INSTITUTIONS

Institutional integrations may be subject to technical, contractual, regulatory, or operational limitations. AddressSync does not guarantee that any particular Institution will remain integrated with the Platform. An Institution may suspend an integration, change its technical interface, change its address-change requirements, reject requests, delay processing, or discontinue participation. AddressSync may similarly suspend an integration where necessary for security, legal, operational, or technical reasons.

19. SERVICE AVAILABILITY

AddressSync will use commercially reasonable efforts to maintain the availability and reliability of the Services. However, uninterrupted availability is not guaranteed. Services may become temporarily unavailable because of maintenance, upgrades, cybersecurity incidents, infrastructure failures, telecommunications failures, cloud-provider outages, third-party failures, institutional outages, network failures, force majeure events, or circumstances beyond AddressSync's reasonable control.

20. NO GUARANTEE OF REAL-TIME PROCESSING

Where AddressSync describes a service as “real-time,” “near real-time,” or similar, this refers to the intended processing or transmission capability of the AddressSync Platform. It does not guarantee that a receiving Institution will process the information in real time. Institutional processing may occur asynchronously.

21. USER ACCEPTABLE USE

You agree not to use the Services to commit fraud, impersonate another person, submit unauthorized personal information, interfere with the Platform, introduce malware, attempt unauthorized access, reverse engineer security controls, circumvent authentication, probe or attack systems, overload infrastructure, scrape information improperly, interfere with another user's account, violate applicable law, or violate the rights of another person or organization.

22. SECURITY RESTRICTIONS

You must not attempt to obtain unauthorized access to AddressSync systems, access another user's account, bypass security controls, exploit vulnerabilities without authorization, intercept communications, manipulate transactions, alter transaction records, interfere with APIs, conduct denial-of-service attacks, or deploy malicious software. Nothing in these Terms prohibits legitimate security research that AddressSync has expressly authorized in writing.

23. INTELLECTUAL PROPERTY

The AddressSync Platform and its underlying technology are owned by or licensed to AddressSync. Except for rights expressly granted under these Terms, AddressSync retains all rights, title, and interest in software, source code, object code, APIs, architecture, interfaces, databases, designs, workflows, documentation, trademarks, logos, trade names, inventions, proprietary methods, technical processes, and confidential information. Nothing in these Terms transfers ownership of AddressSync intellectual property to a user.

24. USER DATA

You retain your rights in personal information and other information that you lawfully submit to AddressSync. You grant AddressSync the limited rights necessary to process, store, transmit, secure, and otherwise handle such information for the purposes of providing the Services and complying with applicable law. AddressSync will handle personal information in accordance with its Privacy Policy and applicable privacy legislation.

25. FEEDBACK

If you voluntarily provide suggestions, ideas, recommendations, bug reports, or other feedback concerning AddressSync, you grant AddressSync permission to use that feedback for improving the Services, provided that such use does not improperly disclose your personal information or confidential information.

26. CONFIDENTIALITY

AddressSync may receive confidential information from users, institutions, partners, and other parties. AddressSync will use appropriate measures to protect confidential information against unauthorized disclosure, subject to applicable law and the operation of the Services. Users must likewise protect non-public AddressSync information that they obtain through authorized use of the Services.

27. PRIVACY

AddressSync's collection, use, disclosure, retention, and protection of personal information are governed by the AddressSync Privacy Policy, which forms part of these Terms. If there is a conflict between these Terms and mandatory privacy legislation, the applicable legislation prevails.

28. PRIVACY INCIDENTS AND SECURITY EVENTS

AddressSync maintains procedures for responding to security and privacy incidents. Where an incident creates obligations under applicable law, AddressSync will take the measures required by law, which may include investigation, containment, mitigation, documentation, notification to regulators, notification to affected individuals, and corrective measures.

29. FEES

If a Service is offered for a fee, the applicable price, billing cycle, taxes, cancellation terms, and payment conditions will be disclosed before purchase or otherwise made available to the user. Unless expressly stated otherwise, fees are payable according to the applicable billing terms, taxes may apply, third-party charges may be separate, and refunds are subject to the applicable service terms and mandatory consumer-protection law.

30. FREE SERVICES AND TRIALS

AddressSync may offer free Services, trials, promotional access, or limited functionality. AddressSync may modify or discontinue such offerings subject to applicable law. Unless otherwise stated, a free or trial service does not create a permanent entitlement to continued access.

31. SUSPENSION AND TERMINATION

AddressSync may suspend or terminate access where reasonably necessary because of breach of these Terms, suspected fraud, unauthorized use, security threats, unlawful activity, abuse of the Platform, non-payment, legal requirements, operational or security requirements, or discontinuation of the relevant Service. Where reasonably practicable, AddressSync may provide notice before suspension or termination. Immediate suspension may occur where delay could create material security, privacy, legal, or operational risk.

32. EFFECT OF TERMINATION

Upon termination, your right to access the affected Services may cease, outstanding obligations may survive, information may be retained where required or permitted by law, and personal information will continue to be governed by the Privacy Policy and applicable privacy legislation. Termination does not automatically require AddressSync to delete every record where retention is legally or reasonably necessary.

33. DISCLAIMERS

To the maximum extent permitted by applicable law, the Services are provided on an “as available” and “as is” basis. AddressSync does not warrant that the Services will always be uninterrupted, every transaction will be successfully transmitted, every Institution will accept a transaction, every Institution will process a transaction within a particular period, an Institution will update every applicable record, third-party systems will remain available, every address will be validated correctly, every technical error will be detected, or the Services will satisfy every individual or institutional requirement. Nothing in these Terms excludes a warranty, representation, condition, or right that cannot lawfully be excluded.

34. THIRD-PARTY SYSTEMS

AddressSync is not responsible for failures exclusively attributable to third-party systems beyond AddressSync's reasonable control, including Institution databases, financial systems, utility systems, telecommunications systems, governmental systems, postal systems, third-party validation systems, cloud infrastructure, and telecommunications networks. AddressSync will nevertheless use reasonable efforts to identify, communicate, and mitigate service failures where practicable.

35. USER RESPONSIBILITY FOR INSTITUTIONAL RECORDS

The user remains responsible for confirming that important institutions have successfully updated their records where the consequences of an incorrect or delayed address could be significant. AddressSync should not be treated as a substitute for independently confirming critical changes where an Institution's own confirmation is required, particularly for legal notices, financial statements, insurance, government communications, tax matters, medical correspondence, immigration matters, court documents, employment records, and other time-sensitive communications.

36. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, AddressSync will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the Services. Where permitted by law, AddressSync's aggregate liability arising directly from the Services will be limited to fees paid by the user during the preceding twelve months.

37. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless AddressSync and its directors, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, and reasonable expenses arising from your fraudulent or unauthorized use of the Services, your violation of these Terms, your unlawful submission of another person's information, your infringement of third-party rights, or your intentional misuse of the Platform.

38. FORCE MAJEURE

AddressSync will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil disorder, government action, major telecommunications failure, internet-wide disruptions, cybersecurity incidents of extraordinary scope, cloud infrastructure failures, labour disruptions, public-health emergencies, utility failures, or failures of third-party infrastructure.

39. CHANGES TO THE SERVICES

AddressSync may modify, improve, suspend, replace, or discontinue components of the Services due to technology, security, legal requirements, regulatory requirements, institutional integration changes, business requirements, or product development. Where required by law or where changes materially affect users, AddressSync will provide appropriate notice.

40. CHANGES TO THESE TERMS

AddressSync may update these Terms from time to time. The updated Terms will identify a revised “Last Updated” date. Where required by law, material changes will be communicated to users in an appropriate manner. Continued use of the Services after the effective date of revised Terms constitutes acceptance to the extent permitted by law.

41. GOVERNING LAW

These Terms are governed by the laws applicable in the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to mandatory consumer-protection or other applicable statutory rights, disputes will be subject to the jurisdiction of the courts of Quebec.

42. CONSUMER RIGHTS

Nothing in these Terms is intended to deprive a consumer of rights granted under applicable consumer-protection legislation. Where a mandatory consumer-protection law applies and conflicts with these Terms, the mandatory law prevails.

43. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted. The remaining provisions will continue in effect.

44. NO WAIVER

Failure by AddressSync to enforce a provision of these Terms does not constitute a waiver of its right to enforce that provision later.

45. ENTIRE AGREEMENT

These Terms, together with the AddressSync Privacy Policy, applicable service-specific terms, applicable pricing or subscription terms, and applicable institutional integration agreements, constitute the applicable agreement governing use of the Services, subject to mandatory law.

46. ASSIGNMENT

You may not assign your rights or obligations under these Terms without AddressSync's prior written consent where such consent is legally required. AddressSync may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of substantially all relevant assets, or similar transaction, subject to applicable law.

47. NO AGENCY

Use of AddressSync does not create a partnership, employment relationship, joint venture, fiduciary relationship, or agency relationship between AddressSync and the user except to the limited extent expressly established by the applicable service flow.

48. NOTICES

Legal notices to AddressSync must be directed to AddressSync Innovations Inc. in Quebec, Canada. Notices to users may be delivered through email, the AddressSync account, in-platform notifications, or other electronic methods permitted by applicable law.

49. CONTACT

For questions concerning these Terms, contact AddressSync Innovations Inc. in Montreal, Québec, Canada via the website or designated support and privacy emails.

50. FINAL ACKNOWLEDGEMENT

By using AddressSync, you acknowledge that AddressSync facilitates the transmission of address information, you are responsible for the accuracy of information you submit, you authorize AddressSync to communicate information to Institutions you select or otherwise authorize, Institutions independently control their own records and processing, successful transmission does not guarantee successful institutional processing, you remain responsible for complying with direct notification obligations imposed by Institutions, and your use of the Services is subject to these Terms and the AddressSync Privacy Policy.
